RealHub Terms of Service

These Terms govern business and professional use of RealHub by short-term rental teams and authorized company users.

These Terms of Service ("Terms") govern access to and use of RealHub, a software application and related services owned and operated by Vortex Global Solutions LLC ("Vortex," "we," "us," or "our").

By accessing or using RealHub, creating an account, accepting an invitation, submitting an access request, or using the Service on behalf of a company, you agree to these Terms.

If you use RealHub on behalf of a company, organization, client, property-management business, or other legal entity, you represent that you have authority to bind that entity. In that case, "Customer," "you," and "your" refer to that entity and its authorized users.

If you do not agree to these Terms, do not access or use RealHub.

1. Business Use Only

RealHub is intended for business, professional, and internal operational use by short-term rental teams, property managers, analysts, owners, administrators, and related business personnel. RealHub is not intended for personal, household, consumer, or non-business use. You may not use RealHub as a consumer service unless we expressly agree in writing.

2. The Service

RealHub is an operational software platform designed to help Customers organize, import, review, reconcile, and report on short-term rental business data. The Service may include features for:

  • company workspace administration;
  • user and role management;
  • property and source-alias management;
  • source-aware imports from third-party platforms or files;
  • canonical booking records;
  • guest profiles and guest review workflows;
  • KPI and reporting views;
  • income, expense, audit, tax setup, and Pull Taxes reporting;
  • forecast planning;
  • import preview, review, rollback, and revision tracking;
  • operational dashboards and source freshness indicators;
  • access security, MFA, audit logs, and session management.

RealHub helps Customers centralize and view operational data. RealHub does not independently verify the accuracy, legality, completeness, or business appropriateness of Customer Data, imported files, third-party source data, Customer-defined rules, tax settings, property mappings, or user decisions.

3. Customer Responsibility for Data, Rules, and Decisions

You are solely responsible for:

  • the accuracy, completeness, legality, and reliability of all data you upload, import, enter, configure, approve, edit, or process through RealHub;
  • all source files, exports, reports, and data obtained from third-party platforms such as Airbnb, Guesty, VRBO, PriceLabs, PMS tools, spreadsheets, accounting systems, or other systems;
  • verifying that imported data is correct before relying on it;
  • reviewing import previews, warnings, validation messages, duplicate notices, source-sync statuses, guest-match suggestions, and review queues;
  • creating and maintaining correct property aliases, source mappings, tax profiles, settings, long-term-rental rules, booking assumptions, forecast assumptions, and company defaults;
  • deciding whether to merge, split, discard, replace, import, approve, or rely on any record;
  • determining whether RealHub outputs are suitable for your business purpose;
  • maintaining your own source records, accounting records, tax records, filings, backups, and audit evidence outside RealHub as required by law or your business policies;
  • complying with all laws, tax rules, accounting obligations, lodging regulations, privacy obligations, platform terms, and contractual duties that apply to your business.

RealHub may calculate, transform, normalize, group, or display data based on Customer Data and Customer configuration. Those outputs are only as reliable as the data, rules, settings, assumptions, and source files provided or approved by you.

4. No Professional Advice

Vortex is not a law firm, accounting firm, tax advisor, financial advisor, property-management broker, insurance advisor, compliance consultant, or filing authority. RealHub, including Financials, Pull Taxes, Forecast, KPI, Audit, Income, Expenses, and related reporting features, is provided for operational visibility and internal business review only. Vortex does not provide:

  • tax advice;
  • legal advice;
  • accounting advice;
  • financial advice;
  • filing advice;
  • regulatory advice;
  • investment advice;
  • insurance advice;
  • professional certification of any report or output.

You must consult qualified professionals before relying on RealHub outputs for tax filings, accounting books, legal compliance, owner statements, investor reporting, audits, business decisions, or external submissions. You are solely responsible for final review, validation, approval, filing, payment, and reporting decisions.

5. Imported Data and Third-Party Sources

RealHub may allow you to import or process data from third-party sources, platforms, exports, APIs, spreadsheets, files, or manually created records. You acknowledge and agree that:

  • third-party source data may be incomplete, delayed, inconsistent, inaccurate, duplicated, formatted unexpectedly, changed by the provider, or missing relevant fields;
  • third-party platforms may change export formats, column names, report structures, identifiers, tax handling, payout logic, or data availability without notice;
  • RealHub may not detect every issue in imported data;
  • RealHub may reject, flag, skip, transform, normalize, or preserve records according to its import logic and Customer configuration;
  • Customer review is required before relying on imported records or reports;
  • to the maximum extent permitted by law, Vortex is not responsible for errors, losses, filings, decisions, disputes, or business outcomes caused by third-party source data, Customer files, Customer mappings, or Customer-approved import actions.

RealHub and Vortex are not affiliated with, endorsed by, sponsored by, or controlled by Airbnb, Guesty, VRBO, PriceLabs, or any other third-party platform unless expressly stated in writing. Your use of third-party platform data must comply with your agreements with those platforms.

6. Access Requests, Accounts, and Authorized Users

Access to RealHub may require an approved account, company workspace, invitation, or access request. We may approve, reject, suspend, or revoke access requests at our discretion. Customer is responsible for:

  • identifying authorized users;
  • assigning correct roles and permissions;
  • removing users who no longer need access;
  • maintaining current company information;
  • ensuring that users comply with these Terms;
  • keeping account credentials secure;
  • enabling and using MFA where required or appropriate;
  • reviewing active sessions and revoking suspicious sessions.

Each user must use their own account. Shared accounts are not permitted unless we expressly approve them in writing. You must notify us promptly if you suspect unauthorized access, credential compromise, suspicious activity, or misuse of the Service.

7. Roles, Administration, and Superuser Access

RealHub may support company roles such as admin, analyst, guest, or similar access levels. Company admins are responsible for managing users within their company workspace, subject to the permissions made available in the Service. RealHub may also support system-level superuser access for solution administration, support, maintenance, onboarding, troubleshooting, security review, and emergency operations. Where impersonation or support access is available, it is intended for authorized support, administration, and troubleshooting only. Superuser actions may be logged and audited. You acknowledge that system-level administration may be necessary to provide, maintain, secure, support, or improve the Service.

8. Security Features and Customer Security Duties

RealHub may provide security features such as MFA, email verification, password recovery, session tracking, session revocation, audit logs, bot protection, rate limiting, and access-request review. You are responsible for using available security features appropriately and for ensuring that your users follow reasonable security practices. You agree not to:

  • share passwords;
  • bypass MFA or security controls;
  • use fake identities;
  • access another company's workspace without authorization;
  • test, scan, attack, disrupt, or attempt to compromise the Service;
  • upload malicious files;
  • use the Service to store or process data you are not authorized to use.

We may suspend access if we believe there is a security risk, misuse, unlawful activity, credential compromise, or violation of these Terms.

9. Customer Data

"Customer Data" means data, files, content, records, configurations, imports, exports, settings, user information, company information, property data, booking data, guest data, financial data, tax-related settings, notes, and other materials submitted to, generated in, or processed through RealHub by or for Customer. Customer retains ownership of Customer Data. You grant Vortex a limited, non-exclusive, worldwide license to host, process, transmit, store, display, transform, normalize, back up, secure, and otherwise use Customer Data as necessary to provide, maintain, support, improve, protect, and operate RealHub. You represent and warrant that:

  • you have all necessary rights, consents, permissions, and legal bases to provide Customer Data to RealHub;
  • your use of RealHub complies with applicable laws and third-party agreements;
  • Customer Data does not infringe, misappropriate, or violate the rights of any person or entity;
  • Customer Data does not include prohibited data unless expressly permitted by us in writing.

10. Personal Data and Privacy

Vortex may process personal data in connection with RealHub, including user account data and guest-related data such as names, emails, phone numbers, booking details, and related operational information. Our processing of personal data is governed by our Privacy Policy and, where applicable, a Data Processing Agreement. If you use RealHub to process personal data about guests, customers, owners, employees, contractors, or other individuals, you are responsible for ensuring that you have a lawful basis and all required notices, rights, consents, contracts, and permissions. Unless otherwise agreed in a written Data Processing Agreement:

  • Customer determines the purposes and means of processing Customer Data;
  • Vortex processes Customer Data to provide RealHub;
  • Customer is responsible for the legality of the data and processing instructions it provides;
  • to the maximum extent permitted by law, Vortex is not responsible for Customer's failure to comply with privacy, data protection, employment, marketing, lodging, or consumer-protection laws.

You may not use RealHub to store or process special categories of personal data, government IDs, payment card data, protected health information, children's data, criminal history, or other highly sensitive data unless we expressly approve it in writing and appropriate safeguards are in place.

11. Confidentiality

Each party may receive confidential or non-public information from the other party. The receiving party must use the other party's confidential information only as necessary to perform under these Terms and must protect it using reasonable care. Confidential information does not include information that:

  • is publicly available without breach;
  • was already known without restriction;
  • is independently developed without use of the confidential information;
  • is lawfully received from a third party without restriction;
  • must be disclosed by law, court order, or governmental authority.

12. Acceptable Use

You may not use RealHub to:

  • violate any law, regulation, court order, contract, third-party right, platform rule, or privacy obligation;
  • upload malware, scripts, corrupted files, or harmful content;
  • probe, scan, test, bypass, or attack security systems;
  • overload, disrupt, degrade, or interfere with the Service;
  • scrape, copy, reverse engineer, or extract data except as allowed by the Service;
  • misrepresent identity, affiliation, authorization, or company access;
  • access or attempt to access another customer's workspace;
  • upload data you are not authorized to process;
  • use RealHub to make unlawful tax, accounting, legal, lodging, marketing, or employment decisions;
  • use RealHub to send spam, unlawful marketing, or unauthorized communications;
  • use RealHub in a way that could harm RealHub, other customers, third-party providers, or individuals.

We may suspend or terminate access for violations of this section.

13. Beta, Preview, and Evolving Features

Some parts of RealHub may be beta, preview, experimental, incomplete, or subject to change. Beta or preview features may contain errors, change without notice, be removed, produce incomplete or inaccurate outputs, require additional validation, or lack full support, export, audit, or production-hardening coverage. You should not rely on beta or preview features for final accounting, tax, legal, regulatory, filing, or external reporting purposes.

14. Availability, Maintenance, and Changes

We may modify, suspend, update, replace, limit, or discontinue any part of the Service at any time. We may perform maintenance, security updates, migrations, backups, repairs, and operational changes. We do not guarantee that the Service will be uninterrupted, error-free, secure from all threats, compatible with all systems, or available at all times. We are not responsible for downtime, data delays, failed imports, export format changes, third-party outages, hosting outages, internet issues, browser issues, customer device issues, or events outside our reasonable control.

15. Backups and Data Retention

Vortex may maintain backups, logs, audit trails, snapshots, revisions, or retention procedures as part of RealHub. However, unless expressly agreed in writing, you remain responsible for maintaining your own independent records, backups, exports, source files, accounting records, tax records, guest records, and business documentation. RealHub is not a substitute for your own recordkeeping obligations. Upon termination or suspension, we may retain, delete, anonymize, export, or restrict Customer Data according to our policies, legal obligations, operational needs, and applicable agreements.

16. Fees and Payment

If the Service is provided under a paid plan, subscription, order form, invoice, statement of work, or other commercial arrangement, Customer agrees to pay all applicable fees according to the applicable payment terms. Fees are non-refundable except as expressly stated in writing or required by law. We may suspend access for unpaid fees, payment disputes, chargebacks, expired payment methods, or suspected fraud. Taxes, duties, bank fees, and similar charges are Customer's responsibility unless otherwise stated. If RealHub is provided for free, in pilot mode, trial mode, beta mode, or evaluation mode, we may limit, suspend, or terminate access at any time.

17. Intellectual Property

The RealHub software, design, workflows, interfaces, documentation, code, logos, branding, templates, data models, import logic, report layouts, and other materials are owned by Vortex or its licensors. Except for the limited right to use the Service under these Terms, no rights are transferred to Customer. You may not copy, modify, distribute, sell, sublicense, reverse engineer, or create derivative works from RealHub except as expressly allowed by law or by written agreement. Customer owns Customer Data.

18. Feedback

If you provide suggestions, ideas, bug reports, enhancement requests, or other feedback, you grant us a perpetual, worldwide, royalty-free right to use that feedback without restriction or compensation. We are not required to implement feedback.

19. Third-Party Services

RealHub may depend on or interact with third-party services, hosting providers, email providers, bot-protection providers, data sources, browsers, databases, infrastructure providers, and third-party platforms. We are not responsible for third-party services, third-party data, third-party outages, third-party security incidents, third-party terms, third-party pricing changes, or changes in third-party export formats or availability. Your use of third-party services is governed by your agreements with those third parties.

20. Disclaimers

To the maximum extent permitted by law, RealHub is provided "as is" and "as available." We disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of:

  • accuracy;
  • completeness;
  • reliability;
  • merchantability;
  • fitness for a particular purpose;
  • non-infringement;
  • uninterrupted operation;
  • error-free operation;
  • security from all threats;
  • compatibility;
  • data availability;
  • tax, accounting, legal, financial, operational, or regulatory suitability.

21. Limitation of Liability

To the maximum extent permitted by law, Vortex and its owners, directors, officers, employees, contractors, affiliates, suppliers, licensors, and service providers will not be liable for indirect, incidental, consequential, special, or punitive damages; lost profits; lost revenue; lost business; lost savings; business interruption; loss of goodwill; loss or corruption of data; failed imports; incorrect reports; incorrect forecasts; incorrect tax calculations; accounting errors; filing errors; regulatory penalties; platform disputes; guest disputes; owner disputes; or reliance on Customer Data, third-party data, or Customer-defined rules. To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed the greater of the amounts paid by Customer to Vortex for the Service during the three months before the event giving rise to the claim, or EUR 500. If the Service is provided for free, in beta mode, pilot mode, trial mode, or evaluation mode, our total aggregate liability for all claims relating to that use will not exceed EUR 100. The limitations in this section apply regardless of legal theory, even if we have been advised of the possibility of such damages. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

22. Customer Indemnity

To the maximum extent permitted by law, Customer will defend, indemnify, and hold harmless Vortex and its owners, directors, officers, employees, contractors, affiliates, suppliers, licensors, and service providers from and against any claims, losses, liabilities, damages, penalties, fines, costs, and expenses, including reasonable legal fees, arising from or related to:

  • Customer Data;
  • Customer's use of the Service;
  • Customer's tax, accounting, legal, filing, financial, operational, or business decisions;
  • Customer's violation of these Terms;
  • Customer's violation of law or third-party rights;
  • Customer's use of third-party source data;
  • Customer's platform, guest, owner, employee, contractor, or regulator disputes;
  • Customer's incorrect configuration, mapping, import approval, guest merge, tax profile, forecast assumption, or reporting rule;
  • Customer's failure to verify RealHub outputs before relying on them;
  • unauthorized access caused by Customer's users, credentials, devices, or security practices.

23. Suspension and Termination

We may suspend or terminate access immediately if you breach these Terms, fees are unpaid, we detect suspected security risk or unlawful activity, your use creates risk to RealHub or others, required legal, security, or operational conditions are not met, or we are required to do so by law, court order, hosting provider, payment provider, or governmental authority. Customer may stop using the Service at any time. Termination does not affect rights and obligations that by their nature should survive, including payment obligations, confidentiality, intellectual property, disclaimers, limitation of liability, indemnity, and dispute provisions.

24. Export and Deletion of Data

Subject to technical availability, legal obligations, security restrictions, and payment status, Customer may request export of Customer Data. Customer may request deletion of Customer Data by contacting Vortex Global Solutions LLC. We will process deletion requests within a reasonable time and in accordance with applicable law, subject to any data we are required or permitted to retain for legal, security, audit, backup, dispute-resolution, or legitimate business purposes. Following termination, we may delete, retain, archive, anonymize, export, or restrict Customer Data according to our retention practices, legal obligations, backup cycles, and operational needs. Backups may persist for a limited period after deletion from active systems. We are not responsible for Customer's failure to export or preserve data before termination.

25. Changes to These Terms

We may update these Terms from time to time. If changes are material, we may provide notice through the Service, email, or other reasonable means. Continued use of the Service after updated Terms become effective means you accept the updated Terms. If you do not agree to updated Terms, you must stop using the Service.

26. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law rules. The state and federal courts located in Miami-Dade County, Florida will have exclusive jurisdiction over disputes arising from or relating to these Terms or the Service, except where applicable law requires otherwise. If Customer is located in a jurisdiction where mandatory legal rights cannot be waived, these Terms apply only to the maximum extent permitted by that law.

27. Force Majeure

We are not liable for delay or failure to perform caused by events outside our reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, internet failures, hosting failures, cloud provider failures, cyberattacks, governmental actions, power outages, third-party platform outages, or failures of telecommunications, payment, email, security, or infrastructure providers.

28. Assignment

Customer may not assign or transfer these Terms or access to the Service without our prior written consent. We may assign or transfer these Terms in connection with a merger, acquisition, restructuring, sale of assets, change of control, or transfer of the Service.

29. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable, if permitted by law.

30. Entire Agreement

These Terms, together with any order form, subscription agreement, privacy policy, data processing agreement, security policy, or written agreement incorporated by reference, form the entire agreement between Customer and Vortex regarding the Service. If there is a conflict between these Terms and a signed written agreement, the signed written agreement controls for that conflict.
